Celtic Heritage Gifts – Wholesale Terms & Conditions

1. Definitions

In these Terms and Conditions:

“the Company” means Celtic Heritage Gifts, PO Box 13880, Portlaoise, Co. Laois, R32 AP22, Ireland.

“the Customer” means any individual, partnership, company, retailer, distributor or organisation purchasing Goods from the Company.

“the Goods” means all products supplied by the Company including jewellery, giftware, accessories, packaging and associated merchandise.

“Terms and Conditions” means these wholesale terms and conditions of sale.


2. General Conditions

2.1 These Terms and Conditions apply to all wholesale sales made by the Company and supersede any other terms proposed by the Customer unless agreed in writing by the Company.

2.2 By placing an order, the Customer confirms acceptance of these Terms and Conditions.

2.3 The Company reserves the right to amend these Terms and Conditions at any time without prior notice.

2.4 Product images, catalogues, brochures and marketing materials are for illustrative purposes only. Minor variations in colour, finish or packaging may occur.

2.5 All business shall be conducted in the English language.


3. Orders

3.1 All orders constitute an offer to purchase Goods from the Company.

3.2 Orders are only accepted once confirmed by the Company in writing or upon issue of an invoice.

3.3 The Company reserves the right to refuse or cancel any order at its discretion.

3.4 Amendments or cancellations requested after production or dispatch has commenced may incur charges.


4. Pricing

4.1 All prices are quoted in Euros (€) unless otherwise stated.

4.2 All prices are exclusive of VAT, duties, customs charges and delivery costs unless expressly stated otherwise.

4.3 The Company reserves the right to amend pricing at any time due to supplier costs, exchange rate fluctuations or market conditions.

4.4 Any quotation provided by the Company shall remain valid for 30 days unless otherwise stated.


5. Payment Terms

5.1 New wholesale accounts shall operate on a Proforma Invoice basis unless otherwise agreed in writing.

5.2 Customers paying by Proforma Invoice prior to dispatch shall receive a 5% discount on the invoice value excluding VAT and shipping.

5.3 30-day credit terms may be offered subject to satisfactory trade references and approval by the Company.

5.4 Credit facilities may be withdrawn at any time at the discretion of the Company.

5.5 Overdue accounts may incur interest at a rate of 2% per month together with any reasonable recovery or legal costs incurred.

5.6 Ownership of Goods shall remain with the Company until payment has been received in full.

5.7 The Company reserves the right to suspend deliveries where payment terms are not adhered to.


6. Delivery

6.1 Delivery lead times will be advised at the time of invoicing.

6.2 Standard lead times are typically 6–8 weeks, unless otherwise agreed in writing.

6.3 Delivery dates are estimates only and are not guaranteed.

6.4 The Company shall not be liable for delays caused by suppliers, shipping providers, customs, force majeure events or circumstances beyond its reasonable control.

6.5 Risk in the Goods passes to the Customer upon delivery.

6.6 The Customer is responsible for inspecting Goods immediately upon receipt.

6.7 Any shortages, damages or discrepancies must be reported in writing within 3 working days of delivery.


7. Returns & Claims

7.1 Returns are only accepted with prior written authorisation from the Company.

7.2 Approved returns must be:

  • unused,
  • in original packaging,
  • in resaleable condition,
  • and returned within 14 days of approval.

7.3 Customised, personalised or special-order Goods are non-returnable unless faulty.

7.4 The Company reserves the right to refuse returns that do not meet these conditions.

7.5 Claims relating to defects must be supported by photographs and invoice details.


8. Retention of Title

8.1 Legal ownership of the Goods shall remain with the Company until full payment has been received.

8.2 Until ownership passes, the Customer shall:

  • store the Goods separately,
  • maintain them in good condition,
  • and clearly identify them as property of the Company.

8.3 The Company reserves the right to recover unpaid Goods from the Customer’s premises if payment terms are breached.


9. Intellectual Property

9.1 All trademarks, logos, designs, product names, photographs, catalogues and marketing materials remain the intellectual property of the Company.

9.2 Customers may not reproduce, copy or distribute Company materials without prior written consent.


10. Online & Marketplace Sales

10.1 Goods supplied by the Company may not be sold on third-party marketplaces including but not limited to Amazon, Temu, Shein, eBay, Etsy or similar platforms without prior written approval.

10.2 The Company reserves the right to terminate supply agreements where products are sold in a manner deemed damaging to the brand.


11. Warranty & Liability

11.1 The Company warrants that Goods supplied will be of satisfactory quality and substantially match their description.

11.2 Except where prohibited by law, the Company shall not be liable for:

  • indirect or consequential loss,
  • loss of profit,
  • loss of business,
  • or loss of goodwill.

11.3 The Company’s total liability shall not exceed the invoice value of the Goods supplied.


12. Force Majeure

12.1 The Company shall not be liable for any failure or delay in performance caused by events beyond its reasonable control including but not limited to:

  • natural disasters,
  • pandemics,
  • strikes,
  • transport disruptions,
  • supplier shortages,
  • customs delays,
  • government restrictions,
  • or utility failures.

13. Data Protection

13.1 The Company complies with applicable Irish and EU data protection legislation including GDPR.

13.2 Customer information shall only be used for legitimate business purposes.


14. Termination

14.1 The Company reserves the right to terminate or suspend any wholesale account at its discretion.

14.2 Termination shall not affect any outstanding payment obligations owed by the Customer.


15. Governing Law

15.1 These Terms and Conditions shall be governed by the laws of Ireland.

15.2 Any disputes arising shall be subject to the exclusive jurisdiction of the Irish courts.
